In consideration of the opportunity to examine information about the ClimateTalk™ PROTOCOL from the White-Rodgers Division of Emerson Electric Co. ("EMERSON"), the below named company ("COMPANY") agrees as follows:

  2. COMPANY will not implement the ClimateTalk™ PROTOCOL without first entering into a license agreement with EMERSON.

  3. COMPANY acknowledges that the information about the ClimateTalk™ PROTOCOL is provided by EMERSON "AS IS", and EMERSON DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES THEREIN, INCLUDING THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
